1. Acceptance of Terms
By accessing or using Enducer's website, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
2. Definitions
- "Platform" refers to the Enducer website and related services
- "Client" refers to users seeking development services
- "Developer" refers to users offering development services
- "User," "you," "your" refers to anyone using the Platform
- "We," "us," "our" refers to Enducer
- "Match" refers to a connection made between a Client and Developer
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Not be prohibited from using the Services under applicable laws
4. Account Registration
When you create an account, you must provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information remains accurate and up-to-date
We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.
5. Client Obligations
As a Client using our platform, you agree to:
- Provide accurate and detailed project requirements
- Communicate professionally and respectfully with Developers
- Honor commitments made to Developers
- Not use the platform for any illegal or unauthorized purpose
- Not circumvent the platform to avoid fees (where applicable)
- Complete the certification process as required
5.1 Client Certification Requirements
To ensure quality connections, Clients may be required to complete a certification process that includes:
- Verification of company or individual identity
- Confirmation of project legitimacy
- Agreement to platform guidelines and best practices
- Background verification (for enterprise clients)
6. Developer Obligations
As a Developer using our platform, you agree to:
- Provide accurate information about your skills and experience
- Maintain professional standards in all communications
- Honor commitments made to Clients
- Deliver work that meets agreed-upon specifications
- Not misrepresent your capabilities or credentials
- Maintain required insurance and legal compliance
7. Platform Role and Limitations
Enducer acts as a facilitator connecting Clients with Developers. We explicitly state that:
- We are not a party to any agreement between Clients and Developers
- We do not guarantee the quality of work performed by Developers
- We do not guarantee that Clients will award projects
- We do not supervise, direct, or control the work performed
- We are not responsible for disputes between Clients and Developers
8. Profile Matching and Connection Process
8.1 How We Match Profiles
Enducer uses an intelligent AI-powered matching algorithm to connect Clients with the most suitable Developers. Our matching process considers:
- Skills and Expertise: Developer technical skills matched against project requirements
- Experience Level: Years of experience and portfolio quality in relevant domains
- Project Domain: Previous work in the same or similar industry or technology stack
- Pricing Band: Developer pricing range aligned with client budget
- Availability: Current workload and ability to take on new projects
- Performance History: Ratings, reviews, and completion rates from previous projects
- Communication Preferences: Time zone compatibility and communication style alignment
8.2 Match Initiation and Communication
When a suitable match is identified:
- The Client's project is presented to the matched Developer
- The Developer can review the project details and decide if they're interested
- If interested, the Developer initiates contact with the Client
- Both parties can then discuss project specifics, timeline, and pricing
- All communication can occur directly or through the platform
8.3 Quality Assurance
To ensure quality matches, we maintain high standards for both Clients and Developers:
- Verified profiles with certification requirements
- Regular monitoring of platform interactions and behavior
- Rating and review system to maintain accountability
- Ability to flag or report problematic interactions
- Continuous improvement of our matching algorithm
9. Fees and Payments
9.1 Client Fees
Clients are charged no fees to submit project requirements on Enducer.Our matching service is completely free for Clients. There are no:
- Subscription fees
- Platform listing fees
- Connection fees
- Hidden charges
Clients only pay Developers directly for the work performed, according to terms negotiated between the Client and Developer.
9.2 Developer Referral Fee
Developers agree to pay a 1% referral fee on the project valueas stated by the Client at the time of project initiation. This fee is charged when the Developer accepts a project request and initiates contact with the Client.This is a non-refundable fee that supports:
- Development and maintenance of our matching algorithm
- Platform support and customer service
- Profile verification and quality assurance
- Dispute resolution and mediation services
- Continued platform improvements and new features
9.3 First Project Benefit
As an incentive for new Developers joining Enducer, the first project is free of the referral fee. Developers will not be charged the 1% referral fee on their first accepted project, allowing them to build their portfolio and get started with our platform at no cost.
9.4 Payment Terms
All payment terms between Clients and Developers are negotiated directly between the parties. Enducer is not involved in payment processing between Clients and Developers, unless explicitly stated in a separate agreement or payment service addendum.
10. Intellectual Property
Intellectual property rights in work product are determined by the agreement between Clients and Developers. Enducer claims no ownership over any work product created through connections made on our platform.
Users retain ownership of content they submit to the platform, but grant Enducer a license to use such content for the purpose of providing our services.
11. Confidentiality
Users agree to maintain the confidentiality of any proprietary or confidential information shared through the platform. This obligation survives termination of your account.
12. Prohibited Activities
Users may not:
- Use the platform for any illegal purpose
- Harass, abuse, or discriminate against other users
- Submit false or misleading information
- Attempt to circumvent platform security
- Use automated systems to access the platform
- Resell or redistribute platform access
- Interfere with other users' use of the platform
13. Termination
We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. You may also terminate your account at any time by contacting us.
Upon termination:
- Your right to use the Services immediately ceases
- We may delete your account and associated data
- Provisions that by their nature should survive termination will survive
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENDUCER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
Our total liability to you for any claim arising from these Terms or the Services shall not exceed the amount you paid to Enducer in the 12 months preceding the claim, or $100, whichever is greater.
16. Indemnification
You agree to indemnify and hold harmless Enducer and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
17. Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
17.2 Arbitration
